1. Acceptance of Terms

By accessing or using the services provided by Data Designed Solutions LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services Description

Data Designed Solutions provides data strategy consulting, AI implementation, business automation, and related technology services. The specific scope of services will be defined in individual statements of work or service agreements.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Timely review and approve deliverables as outlined in service agreements
• Ensure appropriate access to systems and personnel as needed
• Comply with all applicable laws and regulations
• Pay fees as specified in service agreements
• Maintain confidentiality of proprietary methodologies and materials

4. Intellectual Property

Client Materials:You retain ownership of all data, content, and materials you provide to us ("Client Materials").

Deliverables: Upon full payment, you will own the specific deliverables created for you as defined in the applicable service agreement.

Company IP: We retain ownership of all pre-existing intellectual property, methodologies, frameworks, tools, and general knowledge developed or used in providing services.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and confidential information disclosed during the engagement. Confidential information includes business plans, technical data, customer information, and any information marked as confidential.

Confidentiality obligations survive the termination of these Terms for a period of three (3) years.

6. Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise agreed:

• Invoices are due within thirty (30) days of receipt
• Late payments may incur interest at 1.5% per month
• All fees are non-refundable unless otherwise specified
• Expenses will be reimbursed as agreed in service agreements

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

EXCEPT AS EXPRESSLY PROVIDED HEREIN, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DATA DESIGNED SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Data Designed Solutions, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your violation of these Terms or your use of our services.

10. Term and Termination

These Terms remain in effect until terminated. Either party may terminate the agreement with thirty (30) days written notice, unless otherwise specified in a service agreement.

We may immediately terminate or suspend access for material breach, non-payment, or illegal activity. Upon termination, you must pay for all services rendered.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

12. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified Terms.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
